TERMS OF SERVICE AND DIGITAL AGREEMENT

These Terms of Service and Digital Operations Agreement ("Agreement") are entered into by and between Tapping Into Greatness Enterprise LLC, d/b/a Reese Value Marketing ("Company," "We," "Us," or "Our") and the purchasing entity or individual ("Client," "You," or "Your").

By purchasing, subscribing to, or utilizing any offer within my Digital Operations Suite, including the 360° Digital Audit, Branded Content Creation, Email Marketing, Social Media Marketing, Digital Marketing Campaign, Digital Advertising, Media Planning & Buying, and Grow Customer Loyalty. You expressly agree to be bound by all terms, conditions, policies, and disclosures contained within this Agreement. If You do not agree with these terms, You must not proceed with payment or access the Services.

 

1. SCOPE OF SERVICES & PROGRAM TIER STRUCTURE

The Company provides strategy, diagnostic auditing, media production, digital infrastructure building, and social media execution. Services are structured across two primary phases: Diagnostic (Phase 1) and Execution or System Overhaul (Phase 2).

1.1 Integrated 360° Digital Audit (Phase 1 Baseline)

The 360° Digital Audit ($997 USD standalone) is a mandatory diagnostic baseline embedded into all recurring packages and build-outs, or available as an independent strategic evaluation.

  • Public Asset Evaluation: Evaluates public-facing digital marketing infrastructure, visual branding cohesion, client journey friction, user experience, and lead-capture flow across Client’s primary website/funnel and up to three (3) public social media accounts.

  • Audit Deliverables: Delivers (a) Digital Health Master Report (PDF), (b) Custom Video Walkthrough (20–30 mins), and (c) 90-Day Priority Action Roadmap.

 

1.2 The Digital Operations & Execution Suite (Phase 2 Tiers)

Upon completion or integration of the 360° Digital Audit baseline, ongoing execution or custom build-outs operate under one of the following structured tiers:

  • Branded Content Creation ($1,500 one-time or monthly retainer) 

    • 8 to 12 short-form vertical videos (Reels/TikToks) or high-quality photos. Includes basic scripting, rough editing, and licensing for organic social use.Growth Pack

  • Email Marketing ($1,500 one-time or monthly retainer)

    • 2 to 4 newsletters per week. Building and auditing core automated "flows" (Welcome series, Abandoned Cart). Ongoing A/B testing of subject lines/layouts. Audience segmentation (VIPs, unengaged).

  • Social Media Marketing ($1,500 one-time or monthly retainer)

    • Managing 2–4 platforms, 3–5 posts per week (including basic Reels/TikToks), custom graphic layouts, active community comment reply tracking, and monthly analytics reports.

  • Digital Marketing Campaign ($4,500 flat rate)

    • 2–3 ad platforms. Multi-stage funnel building (retargeting lookalike audiences). Extensive A/B testing of ad copy/hooks. Integration with CRM or e-commerce platforms.Enterprise / Multi-Channel.

  • Digital Advertising ( Ad budget under $5000/mo.) $1,000 to $2,000 rate

    • Management of one ad network (e.g., just Meta or just Google). Basic conversion pixel setup, keyword/audience research, and bi-weekly campaign optimization.Mid-Market Ads

  • Media Planning & Buying (Media budget under $15,000/mo) $1,500 - $3,000 rate.

    • Focuses on single-market campaigns (e.g., local radio and geofenced digital ads). Basic media mix modeling, contract negotiation, and monthly pacing reports.Regional / Multi-Channel

  • Grow Customer Loyalty ($1,500 - $2,500)

    • Managing an existing loyalty app or points system. Monthly email campaigns targeting past buyers. Setting up basic post-purchase automated sequences. Tracking repeat purchase rates.Advanced Loyalty & LTV Growth

  •  Holiday Package ($2,000 One-Time Campaign): A fixed-scope promotional takeover delivering 10–12 high-converting seasonal campaign assets scheduled and executed over a concentrated 14-to-21-day campaign burst.

 

1.3 Service Exclusions

Unless explicitly listed in a signed custom scope, Services do NOT include custom software coding/app programming, ongoing community management/direct message customer service, paid ad spend management, or offline print fulfillment.

2. NON-INVASIVE SECURITY PROTOCOL & PLATFORM ACCESS

 

2.1 Public Evaluation Protocol

Audit evaluations are conducted strictly from the perspective of an external public user.

 

2.2 Credentials Exemption & Partner Permissions

Company shall NEVER request, collect, or store Client’s direct administrative passwords or personal login credentials for social accounts, website hosting, or domain registrars.

  • For publishing execution, Client agrees to grant Company authorization via secure, third-party partner permissions (e.g., Meta Business Manager, Metricool, or official platform partner integration links).

  • Client maintains total administrative control and ownership over all digital properties at all times.

 

2.3 Platform Dependencies, Performance & Warranties

  • No Revenue Guarantee: Client acknowledges that marketing success depends on multiple external variables, including product quality, market demand, sales fulfillment, and platform algorithms. Agency provides strategic expertise and execution excellence but does not guarantee specific dollar-revenue outcomes, exact lead volumes, or follower metrics.

  • Third-Party Platform Policy: Agency is not responsible for outages, account suspensions, API policy changes, or algorithmic shifts initiated by third-party platforms (e.g., Meta, Instagram, Facebook, Pinterest, Google, Wix, WordPress, ManyChat, or Email Service Providers).

 

3. CLIENT OBLIGATIONS, TIMELINES & APPROVAL PROTOCOLS

3.1 Onboarding Intake & Assets

Client is required to complete the official Onboarding Intake Form and submit brand assets, logos, and account authorizations within forty-eight (48) hours of checkout.

 

3.2 30-Day Operational Cycle Engine

Recurring retainer packages (Branded Content Creation, Email Marketing, Social Media Marketing) operate on a rolling 30-Day Content Cycle model:

  • Days 1–5 (Strategy & Production): Company executes topic research, graphic rendering, scriptwriting, and caption creation.

  • Days 6–8 (Client Review Window): Content batches are uploaded to a visual planner for Client review.

  • Days 9–30 (Automation & Publishing): Content is queued and auto-published.

 

3.3 72-Hour Auto-Approval Clause

Client shall have seventy-two (72) hours (3 business days) from receipt of a content batch or design draft to request minor revisions. If Client fails to provide written feedback or revision requests within 72 hours, the content batch will be deemed approved as-is and will be scheduled for auto-publishing or implementation to protect campaign schedules.

3.4 Inactive Projects & Archival Fee

If Client fails to submit required intake materials or raw assets within thirty (30) calendar days of payment, Company reserves the right to archive Client’s project slot. Reactivating an archived project is subject to capacity and an administrative reactivation fee of $150.00 USD.

4. PAYMENT TERMS, NO-REFUND POLICY & CHARGEBACKS

4.1 Payment Terms

  • Standalone Audits, Digital Marketing Campaign, Holiday Package, & Grow Customer Loyalty: Billed upfront according to the payment schedule outlined at checkout or in the custom project proposal (e.g., 100% upfront for Audits/Package; 50% deposit / 50% completion split for Overhauls).

  • Recurring Retainers Branded Content Creation, Email Marketing, Social Media Marketing: Billed 100% upfront prior to the start of each 30-day billing cycle. Auto-renewal occurs every 30 days until canceled in accordance with Section 7.

 

4.2 Strict No-Refund Policy

Due to the immediate allocation of professional labor, analytical resources, custom digital design, and editorial scheduling, ALL SALES ARE FINAL AND ALL PAYMENTS ARE 100% NON-REFUNDABLE. No full or partial refunds will be granted under any circumstances once transaction processing is complete or work on a cycle/build has commenced.

4.3 Chargeback Prohibition

Client explicitly warrants understanding of the non-refundable nature of digital analytical and production services and agrees not to initiate payment disputes, fraudulent credit card chargebacks, or transaction reversals. In the event of an unauthorized chargeback or payment dispute, Client shall be liable for all administrative, legal, and collection costs incurred by Company to recover owed funds.

 

5. OVERHAUL INVESTMENT CREDIT

5.1 Eligibility & Application

If Client purchases a standalone 360° Digital Audit ($997.00 USD) and subsequently upgrades to Company's 360° Digital Ecosystem Overhaul or an eligible annual retainer contract, one hundred percent (100%) of the initial Audit fee ($997.00 USD) shall be applied as a direct service credit toward the upgraded contract.

5.2 Expiration & Non-Transferability

To qualify, the upgraded contract must be executed and initial deposit cleared within fourteen (14) calendar days from the date Company issues final Audit deliverables. The credit holds no independent cash value, is non-transferable, and cannot be combined with external promotions.

6. INTELLECTUAL PROPERTY & PROMOTIONAL RIGHTS

6.1 Deliverable Ownership

Upon complete payment of all owed fees, Client receives a non-exclusive, perpetual, worldwide license to utilize completed final graphics, rendered video edits, landing page copy, and Audit reports for internal business operations.

6.2 Working Files & Frameworks

Company retains underlying ownership of proprietary audit methodologies, diagnostic spreadsheets, internal templates, and unedited raw working source files (e.g., Premiere/Photoshop project files).

6.3 Portfolio Usage

Unless Client submits a formal written opt-out request via email prior to project kickoff, Client grants Company a non-exclusive right to display completed audit graphics, marketing assets, public social posts, web pages, and anonymized performance metrics within case studies, agency portfolios, and promotional content. Company shall never publicly disclose confidential revenue figures.

7. CANCELLATION & SUSPENSION OF SERVICES

 

7.1 Retainer Cancellation Window

Client may cancel a recurring monthly package by submitting a formal written notice to Company at least fourteen (14) calendar days prior to the start of the next 30-day billing cycle.

7.2 Non-Payment Suspension

If a recurring payment fails or is overdue by five (5) business days, active content scheduling, strategy execution, build-out, and publishing services will be immediately paused until the account balance is cleared in full.

8. DISCLAIMER OF WARRANTIES AND GUARANTEES

 

8.1 No Revenue or Conversion Guarantees

Company provides services based on established digital design, marketing, and conversion optimization standards. However, Company makes NO PROMISES, WARRANTIES, OR GUARANTEES regarding specific sales numbers, financial returns, website traffic, search engine positions, lead volumes, or algorithmic reach resulting from Client's implementation or publishing of content.

8.2 Third-Party Platform Disclaimer

Services are provided on an "as is" and "as available" basis. Company is not responsible for platform downtime, account suspensions, algorithmic shadowbans, or technical failures caused by third-party networks (e.g., Meta, TikTok, LinkedIn, YouTube, Google) or third-party scheduling software.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Tapping Into Greatness Enterprise LLC d/b/a Reese Value Marketing, its owner, members, affiliates, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, business interruption, or third-party account actions) arising out of or related to the Services.

Company’s total cumulative aggregate liability for any claims arising under this Agreement shall not exceed the total fee actually paid by Client to Company for the specific Service billing cycle or project contract giving rise to the claim.

10. INDEMNIFICATION

Client agrees to defend, indemnify, and hold harmless Tapping Into Greatness Enterprise LLC d/b/a Reese Value Marketing and its operators from and against any claims, liabilities, damages, losses, or legal fees arising out of Client's breach of this Agreement, business practices, marketing claims, products, or website operations.

 

11. ​Confidentiality & Data Privacy Security

  • Data Confidentiality: Agency agrees that all client-provided customer lists, proprietary business metrics, trade secrets, and login credentials will be treated as strictly confidential.

  • Security Protocols: Agency employs secure credential management software and enterprise-grade data handling. Agency will never sell, rent, or share Client customer data or subscriber lists with third parties.

 

12. GOVERNING LAW AND JURISDICTION

12.1 Jurisdiction

This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the State of Texas, United States, without giving effect to conflict-of-law principles. Any legal proceedings arising under this Agreement must be brought exclusively in the state or federal courts located in Tarrant County, Texas.

12.2 Severability

If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to reflect the parties' intention, and all remaining provisions shall remain in full force and effect.
